Mainland vs Free Zone in the UAE: Which Should You Choose?

Mainland vs free zone is the first decision in UAE company setup. A mainland company, licensed by the emirate’s economic department, can trade anywhere in the UAE and bid for government work. A free zone company, licensed by a zone authority, trades inside the zone and internationally and needs a distributor or branch to sell to mainland customers.

Choose mainland if

  • Your customers are UAE consumers or local businesses
  • You want to bid for government or semi-government contracts
  • You need a shop, restaurant, clinic or showroom open to the public
  • You plan a large team and need flexible visa capacity

Choose a free zone if

  • Your clients are mainly overseas or in other free zones
  • You want a fast setup with a flexi-desk or small office
  • You hold shares, property or intellectual property
  • You can meet the Qualifying Free Zone Person conditions for 0% tax on qualifying income

How should you decide?

Ownership is no longer the main difference: since the 2021 company-law reform, most mainland activities allow 100% foreign ownership, as free zones always have. The real differences are where you can sell, what premises you need, how many visas you can sponsor and how your profits are taxed.

A simple test is to ask who pays you. If your customers are UAE consumers, local businesses or government entities, a mainland licence usually fits. If they are overseas, in other free zones, or you hold assets and IP, a free zone is often simpler and may let you apply 0% corporate tax to qualifying income.

Frequently asked

Questions about Mainland vs free zone

Can a free zone company work with mainland clients?

Not directly. A free zone company can serve free zone and international clients, and reach mainland customers through a local distributor, a mainland branch or a dual licence where the zone allows it.

Is a free zone company tax-free?

No. Free zone companies must register for corporate tax and file returns. Only a Qualifying Free Zone Person can apply 0% to qualifying income; other taxable income is taxed at 9%.

Do I need a local sponsor for a mainland company?

Not for most activities. The 2021 reform removed the local-sponsor requirement for the majority of mainland activities; a short list of strategic-impact activities still needs UAE national participation.

Can I change from free zone to mainland later?

Usually you form a new mainland entity or branch rather than convert directly. Choosing correctly at the start avoids paying for two setups.
